1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and PaceUp ("PaceUp," "we," "us," or "our") and govern your access to and use of the PaceUp mobile applications for iOS and Android, the website at paceupapp.com, and any related services (collectively, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility & account
You must be at least 13 years old to use PaceUp (16 in the European Economic Area, or the minimum age of digital consent in your jurisdiction, whichever is higher). By using the Service you represent that you meet this requirement and that you are legally able to enter into a binding contract.
You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for all activity on your account. Notify us promptly at support@paceupapp.com if you suspect unauthorized access.
3. The service
PaceUp is a social fitness application that lets you record runs, rides, walks, and other activities; join "crews" with friends; share activity with those crews at the visibility level you choose; and optionally import activities from connected platforms such as Apple Health, Google Health Connect, Strava, and Garmin. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for non-commercial personal use, subject to these Terms.
4. Subscriptions & billing
Certain features of PaceUp are available only through a paid subscription ("PaceUp Pro" or any other subscription tier we offer from time to time, each a "Subscription").
4.1 How subscriptions are sold
All Subscriptions are sold through and billed by the platform you purchased on:

By initiating a Subscription you also agree to the applicable platform terms — for iOS, the Apple Media Services Terms and Conditions; for Android, the Google Play Terms of Service.
4.2 Subscription tiers, length, and price
The available Subscription tiers, the features included, the length of each billing period (e.g. weekly, monthly, annual), and the price of each tier are disclosed in the Service at the point of purchase. The price you see in the purchase confirmation prompt is the price that will be charged, in the currency of your store account, and includes any applicable taxes where required by law.
4.3 Authorization to charge
Payment is charged to your Apple ID or Google account at confirmation of purchase. You authorize the relevant platform to charge the displayed price for the initial Subscription period and for each subsequent renewal period at the then-current price, until you cancel.
5. Auto-renewal
No partial refunds or credits are issued for the unused portion of any Subscription term once a renewal has been charged, except where required by applicable consumer protection law.
6. Free trials & promotional offers
We may offer free trials or promotional pricing for new subscribers. Unless we say otherwise at the point of offer:
- You may be limited to one trial per Apple ID or Google account.
- If you do not cancel before the end of the free-trial period, your Subscription will automatically convert to a paid Subscription at the price disclosed at the time of offer, charged to your Apple ID or Google account.
- Promotional or introductory pricing applies only for the introductory period disclosed at the point of offer; the Subscription will then renew at the standard price.
- We may modify or discontinue trials and promotions at any time.
7. How to cancel
You can cancel a Subscription at any time. Cancellation takes effect at the end of the current billing period; you keep paid features until that date, and no further charges are made.
iOS / iPadOS: Settings → [your name] → Subscriptions → PaceUp → Cancel Subscription. Or open the App Store app → tap your profile picture → Subscriptions.
Android: Open the Google Play app → tap your profile picture → Payments & subscriptions → Subscriptions → PaceUp → Cancel subscription.
Uninstalling the PaceUp app does not cancel your Subscription. You must cancel through the platform where it was purchased.
8. Refunds
Because Subscriptions are billed by Apple or Google, refund decisions for completed billing periods are handled by those platforms and are governed by their refund policies:
- Apple: request a refund at reportaproblem.apple.com.
- Google Play: request a refund at play.google.com/store/account/subscriptions, or directly from the Play Store.
PaceUp cannot issue refunds directly for App Store or Play Store purchases. If you believe a charge is in error, contact us at support@paceupapp.com and we will assist where we can.
9. Price changes
We may change Subscription prices from time to time. Any price change will take effect no earlier than 30 days after we notify you in the app or by email. Where required by Apple's or Google's rules, you will be asked to consent to the new price before it is charged. If you do not agree to the new price, you may cancel before the change takes effect.
10. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right;
- Harass, threaten, defame, impersonate, or harm any person;
- Upload content that is unlawful, hateful, sexually explicit, infringing, or deceptive;
- Submit false activity data, manipulate leaderboards, or otherwise commit fraud;
- Reverse engineer, decompile, scrape, or attempt to extract source code or non-public data from the Service, except to the extent expressly permitted by applicable law;
- Use the Service to develop a competing product, or to train any machine-learning model;
- Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
- Circumvent any access control, rate limit, or security measure.
11. Your content
You retain ownership of the workouts, photos, messages, and other content you submit to the Service ("User Content"). You grant PaceUp a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute your User Content solely to operate, provide, and improve the Service — including showing your activity to the crews you choose to share with. You represent that you have the rights necessary to grant this licence and that your User Content does not violate these Terms or any third-party right.
We do not claim ownership of your User Content and we do not use it to train third-party AI models.
12. Third-party services
If you connect a third-party service to PaceUp — including Apple Health, Google Health Connect, Strava, Garmin, or any other provider we make available — your use of that service is also governed by that provider's own terms and privacy policy. Data imported from these services is shown only to you within PaceUp and is treated as further described in our Privacy Policy. You can disconnect any third-party integration at any time from Settings → Connectors in the app.

14. Intellectual property
The Service, including its design, code, content (other than User Content), trademarks, logos, and branding, is owned by PaceUp or its licensors and is protected by intellectual property laws. The Terms grant you only the limited licence set out in Section 3 and do not transfer any other right, title, or interest in the Service to you. You may not use the PaceUp name, logo, or other trademarks without our prior written permission.
15. Termination
You may stop using the Service at any time. You may delete your account at any time from in-app Settings or by following the instructions at /delete-account/.
We may suspend or terminate your access to the Service, with or without notice, if (a) you breach these Terms; (b) we are required to do so by law or by Apple's or Google's rules; (c) your account creates risk or liability for PaceUp or other users; or (d) we discontinue the Service in whole or in part. If we terminate your access without cause and you have prepaid for a Subscription term, we will refund the unused, prepaid portion on a pro-rata basis where the law requires it.
Sections 11, 14, 16, 17, 18, 19, 20, and any other provision that by its nature should survive, will survive termination of these Terms.

18. Indemnification
You agree to indemnify and hold harmless PaceUp and its officers, directors, employees, and agents from and against any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of these Terms; (b) your User Content; (c) your misuse of the Service; or (d) your violation of any law or third-party right.
19. Disputes & arbitration
Informal resolution first. Before filing any formal claim, you agree to contact us at legal@paceupapp.com and try to resolve the dispute informally for at least 30 days.
Arbitration (U.S. residents). If you reside in the United States, any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, in the county of your residence or another mutually agreed location. Either party may bring claims in small-claims court for matters within that court's jurisdiction. You and PaceUp agree that any dispute will be brought only in your or PaceUp's individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.
Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@paceupapp.com within 30 days of first accepting these Terms. The notice must include your full name, your account email, and a clear statement that you wish to opt out.
EU / UK / EEA consumers. Nothing in this section affects your statutory rights as a consumer, including the right to bring proceedings before the courts of the country where you live.
20. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Subject to Section 19, the state and federal courts located in Harris County, Texas have exclusive jurisdiction over any matter not subject to arbitration. If you are a consumer resident outside the United States, you may also have the benefit of mandatory consumer-protection provisions of the country in which you live, and nothing in this section overrides those rights.
21. Changes to terms
We may update these Terms from time to time. If we make a material change, we will notify you in the app or by email at least 7 days before the change takes effect (or longer where required by law). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel any active Subscription as described in Section 7.
Apple App Store acknowledgement
If you obtained the iOS app from the Apple App Store, the following additional terms apply:
- These Terms are concluded solely between you and PaceUp, not with Apple. Apple is not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support for the Service.
- To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Service. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be PaceUp's sole responsibility.
- Apple is not responsible for addressing any claims you have relating to the Service, including product liability, consumer protection, or intellectual-property claims.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
General
These Terms, together with our Privacy Policy, are the entire agreement between you and PaceUp regarding the Service and supersede any prior agreements. If any provision is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
